These terms govern your use of DeckWizard and our AI-powered pitch deck creation service. Please read them carefully.

By accessing deckwizard.ai or creating an account, you agree to these Terms of Service. These terms form a legal contract between you and DeckWizard Pty Ltd. We've written them in plain English to make them as clear as possible. For questions about these terms, please contact us. Also see our Privacy Policy for how we handle your data.

Introduction

These Terms of Service ("Terms") are a legal agreement between you and DeckWizard Pty Ltd, a company based in Australia ("we," "us," or "our"). By using DeckWizard, you're agreeing to these Terms.

These Terms work together with our Privacy Policy and, if you're an enterprise customer, our Data Processing Addendum.

Definitions

Here's what we mean when we use these terms:

"Account"Your registered user account that lets you access and use the Service.
"Content"Any data, text, images, prompts, uploads, presentations, or other materials you provide to or create using the Service.
"Output"The AI-generated results, presentations, slides, text, or other materials produced by the Service based on your inputs.
"Order"Your selection and purchase of a subscription plan or other paid features.
"Subscription Term"The period you've paid for to access premium features.
"Beta Features"Experimental or pre-release features we might make available for testing.
"Authorized User"Someone you've authorized to access and use the Service under your Account.
"Sensitive Data"Personal information like health records, financial account numbers, government IDs, or data about race, religion, political views, or sexual orientation.
"AUP"Our Acceptable Use Policy, which is part of these Terms and covers what you can and can't do with the Service.

Eligibility

You must be at least 16 years old to use DeckWizard. If you're using DeckWizard for your company or organization, you're confirming that you have the authority to agree to these Terms on their behalf.

Organizational use: If you're creating an account for your organization, you represent that you have the legal authority to bind that organization to these Terms.

Prohibited users: You may not use the Service if you're located in a country embargoed by Australia or if you're on any restricted party list.

Accounts

Account creation: You need an account to use most features of DeckWizard. You're responsible for keeping your account information accurate and your password secure.

Account responsibility: You're responsible for all activity that occurs under your account. If you suspect unauthorized access, contact us immediately.

One account per person: Each person may only have one account. Organizations may have multiple accounts for different teams or purposes.

Subscriptions

We offer subscription plans with different features and usage limits. Current plans and pricing are available at deckwizard.ai.

Auto-renewal: Paid subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date through your billing settings on deckwizard.ai.

How to cancel: You can cancel your subscription anytime through your account settings at deckwizard.ai. Cancellation takes effect at the end of your current billing period.

Trials

We may offer free trials of our paid features. Trial periods vary but are typically 7-14 days.

What happens when your trial ends: If you don't upgrade to a paid plan, you'll be moved to our Free plan with its associated limitations.

Downgrade effects: When downgrading, some features like advanced export options may be disabled, and watermarks may be added to your presentations.

Fees and Taxes

Payment: Subscription fees are charged upfront for each billing period. All prices are in Australian Dollars (AUD) unless otherwise stated.

Mid-cycle changes: If you upgrade or downgrade mid-cycle, we'll prorate the charges and adjust your next billing date accordingly.

Taxes: Prices don't include applicable taxes, duties, or fees unless explicitly stated. You're responsible for any additional charges.

Late payments: If payment fails, we may suspend your account until payment is resolved.

Refunds: Subscription fees are non-refundable except where required by applicable law (such as under Australian Consumer Law).

Chargebacks: Initiating a chargeback may result in immediate account suspension pending resolution.

Licenses

When you upload or create Content using our Service, you grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display your Content solely as needed to operate deckwizard.ai and provide the Service to you.

Technical operations: This license allows us to create transient and backup copies of your Content for technical operations, security, and service reliability.

Service improvement: We may use aggregated and anonymized usage statistics (with no personal data) to improve service quality and develop new features.

Acceptable Use

You agree not to use the Service for:

  • Illegal activities or violating any applicable laws
  • Infringing on intellectual property rights
  • Harassment, abuse, or harmful content targeting individuals or groups
  • Distributing malware, viruses, or other harmful code
  • Reverse engineering, scraping, or attempting to extract our underlying technology or data
  • Benchmarking for the purpose of building a competing service
  • Sharing your account credentials with unauthorized users
  • Excessive usage or automated requests that could harm platform performance or availability

Sensitive data: Don't upload sensitive personal information (health records, financial account numbers, government IDs) unless we've specifically agreed to handle such data.

Rate limits: We may implement usage limits and automated boundaries to protect platform integrity. Excessive usage may result in throttling or account suspension.

Customer Content & AI

Your ownership: You retain ownership of your Content. We don't claim ownership of what you create or upload.

Your responsibility: You're responsible for ensuring your Content is legal and doesn't violate third-party rights. You must review all AI-generated Outputs for accuracy, completeness, and appropriateness before use.

Output accuracy: AI-generated Outputs may be inaccurate, incomplete, or non-unique. We don't guarantee the accuracy or uniqueness of any Output.

License to you: Subject to third-party rights and your compliance with these Terms and applicable law, AI-generated Outputs are yours to use, including for commercial purposes.

Model improvement: By default, your Content is NOT used to train AI models. You can opt in to help improve our models through your account settings or our Privacy Policy.

Upload warranties: By uploading Content, you confirm you have the necessary rights and aren't violating any third-party rights.

Third-Party Services

We may integrate with third-party services like cloud storage providers, email services, and analytics tools. Using these integrations is your choice.

Third-party terms: When you use third-party integrations, you're also bound by their terms of service and privacy policies.

Our responsibility: We're not responsible for third-party services, their availability, or their handling of your data. You can disable integrations anytime through your account settings.

Subprocessors: Our subprocessors operate under Data Processing Agreements to protect your data. See our subprocessor list for details.

Intellectual Property

We (and our licensors) own the Service, including our software, algorithms, branding, and related intellectual property. These Terms don't grant you any ownership rights in our intellectual property.

Restrictions: You may not remove proprietary notices or reverse engineer our Service, except as permitted by applicable law.

Feedback

If you provide us with ideas, suggestions, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation.

Publicity

We may use your name and logo as a customer reference on our website and in sales materials. If you'd prefer we don't, just email us at legal@deckwizard.ai to opt out.

Confidentiality

Confidential Information includes non-public technical, business, or other information disclosed by either party.

Protection obligations: Both parties agree to protect Confidential Information using reasonable care and not disclose it to third parties without permission.

Exclusions: Information that's publicly available, independently developed, or lawfully received from others isn't considered confidential.

Compelled disclosure: If legally required to disclose Confidential Information, the disclosing party will provide reasonable notice when possible.

Privacy

Personal data handling is governed by our Privacy Policy.

Enterprise customers: Our Data Processing Addendum is available for Team plan customers upon request.

Your obligations: If you're processing personal data through our Service, you're responsible for complying with applicable data protection laws.

Security

We implement security controls including encryption in transit and at rest, least privilege access, vulnerability management, and incident response procedures.

Responsible disclosure: If you discover a security vulnerability, please report it to security@deckwizard.ai.

Availability

We provide the Service with reasonable efforts to maintain availability, but we don't offer formal Service Level Agreements unless separately agreed in writing.

Maintenance: We may perform maintenance that temporarily affects service availability. We'll try to minimize disruption and provide notice when possible.

Beta Features

Beta Features are provided "as is" and may be changed, limited, or withdrawn at any time. They may have additional usage restrictions or different terms.

Production use: Don't rely on Beta Features for production or business-critical use cases.

Compliance & Export

You agree to comply with all applicable laws, export controls, and sanctions. You confirm that you're not on any restricted party lists.

Prohibited use: You won't use the Service in prohibited jurisdictions or for prohibited end uses under applicable trade control laws.

DMCA

If you believe content on our Service infringes your copyright, send a notice to dmca@deckwizard.ai including:

  • Description of the copyrighted work
  • Location of the infringing material
  • Your contact information
  • Good faith statement that use isn't authorized
  • Statement of accuracy and your authority to act
  • Your physical or electronic signature

Counter-notices: If your content was removed, you may submit a counter-notice if you believe the removal was mistaken.

Repeat infringers: We may terminate accounts of users who repeatedly infringe copyrights.

Termination

Termination for convenience: Either party may terminate these Terms at the end of the current subscription term with appropriate notice.

Termination for cause: Either party may terminate immediately if the other party materially breaches these Terms and doesn't cure the breach within 30 days of written notice.

Immediate suspension: We may suspend your access immediately for violations of our Acceptable Use Policy, security risks, or non-payment.

Effects of Termination

Access ends: Upon termination, your access to the Service ends immediately.

Data export: You have 30 days to export your Content, unless prohibited by law or security concerns.

Data deletion: After the export period, we'll delete or anonymize your data according to our standard data retention practices.

Surviving provisions: These sections survive termination: Intellectual Property, Confidentiality, Fees and Taxes, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

Indemnification

You agree to indemnify and hold DeckWizard Pty Ltd harmless from claims arising from your Content, your use of the Service, or your breach of these Terms, our Acceptable Use Policy, or applicable law.

Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

AI-generated content: AI Outputs may be inaccurate, incomplete, or inappropriate. You're responsible for reviewing and verifying all Outputs before use.

Limitation of Liability

We won't be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, revenue, or data.

Liability cap: Our total liability is limited to the greater of AUD $100 or the fees you paid to DeckWizard in the 12 months preceding the event giving rise to liability.

Legal exclusions: Some jurisdictions don't allow these limitations, so they may not apply to you where prohibited by law.

Governing Law

These Terms are governed by the laws of Western Australia. Any disputes will be resolved exclusively in the courts of Western Australia.

Changes

We may update these Terms from time to time. We'll post the new version on deckwizard.ai and update the "Last updated" date.

Material changes: For significant changes, we'll notify you via email or in-app notification with reasonable advance notice.

Acceptance: Continued use of the Service after changes take effect means you accept the updated Terms.

Order of Precedence

If there's a conflict between documents, this is the order of precedence:

  1. Any signed Order or Master Service Agreement
  2. These Terms of Service
  3. Our policies (Privacy Policy, Acceptable Use Policy, Data Processing Addendum)
  4. Help documentation and FAQs

Miscellaneous

Assignment: You can't assign these Terms without our written consent. We may assign them as part of a merger, acquisition, or sale of assets.

Force majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control.

Severability: If any provision is unenforceable, the rest of these Terms remain in effect.

Waiver: Failure to enforce any provision doesn't waive our right to enforce it later.

Entire agreement: These Terms, along with referenced policies, constitute the entire agreement between us.

Headings: Section headings are for convenience only and don't affect interpretation.

Notices: We'll send notices to your registered email address. You should send notices to legal@deckwizard.ai.
